
INVITATION TO PARTICIPATE IN THE INVESTOR SELECTION PROCEDURE
The Łukasiewicz Research Network – Warsaw Institute of Technology (“Łukasiewicz-WIT”) is seeking an investment partner (a natural person, legal person, or organisational unit without legal personality but with legal capacity, whether Polish or foreign), hereinafter the “Investment Partner”, for the implementation of a joint commercial undertaking involving the establishment of a special purpose vehicle (spin-off/spin-out), in which Łukasiewicz-WIT and the Investment Partner will hold shares or stock (depending on the final legal form).
The contribution of Łukasiewicz-WIT (together with the co‑inventors) to the company will be a patent-pending solution in the form of an innovative high fire‑impedance panel, while the contribution of the Investment Partner would be a financial contribution. In addition, Łukasiewicz‑WIT (and the co‑inventors who developed the innovative solution together with Łukasiewicz‑WIT) is expected to provide technological know‑how, necessary support in the process of industrial production implementation, and the possibility of developing further applications of the technological solution. The Investment Partner, in turn, should have appropriate knowledge, resources, and industry and business contacts to play a leading role in the rapid commercialisation of the solution and the introduction of the product to the market.
Łukasiewicz‑WIT plans to conduct the Investment Partner selection process in two stages. In the first stage, Łukasiewicz‑WIT will discuss with potentially interested entities the project assumptions, including, among others, the detailed principles governing the functioning of the joint company (corporate governance, mutual rights and obligations), as well as the technical details of the invention (after signing a non-disclosure agreement). Only the second stage will involve the submission of offers by selected candidates for the role of Investment Partner.

- The Investment Memorandum, which contains information on the solution in the form of an innovative high fire-impedance panel,
and also
- A diagram illustrating the assumptions regarding the course of the investor selection process (“Investor Selection Process Diagram” of the Łukasiewicz Research Network – Warsaw Institute of Technology).
The investor selection process is not subject to the Public Procurement Law.
